Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of CIMScan, a service operated by True Bearing LLC ("Company", "we", "us", or "our"), a North Carolina limited liability company. CIMScan is an IC Sentinel product.

By creating an account or using CIMScan in any way, you agree to be bound by these Terms. If you are using CIMScan on behalf of a firm or organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use CIMScan.

2. Description of Service

CIMScan is an AI-assisted diligence tool that processes Confidential Information Memoranda ("CIMs") submitted by registered users via email. CIMScan extracts, structures, and analyzes diligence claims from CIM documents and delivers structured data outputs and narrative analysis to registered users.

CIMScan is intended for use by professional private equity deal teams and qualified financial professionals. It is not a financial advisory service and does not constitute investment advice.

3. Eligibility and Account Registration

To use CIMScan you must:

  • Be at least 18 years of age
  • Be a professional operating within a registered private equity, investment, or financial services firm
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

You are responsible for all activity that occurs under your account. You must notify us immediately at [email protected] if you become aware of any unauthorized use of your account.

4. Submitted Content and Data

By submitting a CIM or any document to CIMScan, you represent and warrant that:

  • You have the legal right to submit the document for processing
  • Submitting the document does not violate any confidentiality agreement, non-disclosure agreement, or applicable law
  • You are authorized by your firm to use the service

You retain all ownership rights to documents you submit. By submitting a document, you grant True Bearing LLC a limited, non-exclusive license to process the document solely for the purpose of providing the CIMScan service to you.

5. Data Retention and Deletion

CIMScan operates the following data retention policy:

  • Submitted CIM documents are deleted from our systems immediately upon completion of processing
  • Scan output files (Dataset D and IC Insights documents) are retained for 90 days from the date of delivery, after which they are automatically and permanently deleted
  • Account and firm registration data is retained for the duration of your account and deleted upon account deletion request

You may request deletion of your account and all associated data at any time via the Account Settings page or by contacting [email protected].

6. Payment and Pricing

CIMScan charges a per-scan fee based on selected scan depth:

  • CORE depth: $249 per scan (25–30 diligence claims)
  • FULL depth: $399 per scan (up to 60 diligence claims)

Payment is collected at the time of scan configuration via Stripe. All fees are non-refundable except as set forth in these Terms or required by applicable law. First-run-free promotional codes, where issued, are valid for one scan per firm and have no cash value.

We reserve the right to modify pricing with 30 days notice to registered users.

7. Refund Policy

Due to the nature of AI-assisted processing, refunds are generally not available once a scan has been initiated. If a scan fails to complete due to a technical error on our part, we will either re-process the scan at no additional charge or issue a full refund at our discretion. 8. Prohibited Uses

You may not use CIMScan to:

  • Submit documents you do not have the right to process
  • Attempt to reverse-engineer, copy, or reproduce the CIMScan service or its outputs for resale
  • Circumvent any security or access control measures
  • Submit false or misleading information during registration
  • Use the service for any unlawful purpose
  • Attempt to access another firm's data or ingest address

9. Intellectual Property

CIMScan, its software, design, methodology, prompt architecture, and all associated intellectual property are owned exclusively by True Bearing LLC. Nothing in these Terms transfers any intellectual property rights to you.

The structured outputs delivered to you (Dataset D, IC Insights) are yours to use for your internal business purposes. You may not resell, redistribute, or sublicense scan outputs.

10. Disclaimer of Warranties

CIMScan is provided "as is" and "as available" without warranty of any kind. We do not warrant that:

  • Scan outputs are accurate, complete, or free from error
  • The service will be uninterrupted or error-free
  • The service is suitable for any particular investment decision

CIMScan outputs are analytical starting points and do not constitute investment advice, legal advice, or financial recommendations. All outputs should be independently verified before reliance.

11. Limitation of Liability

To the maximum extent permitted by applicable law, True Bearing LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of CIMScan.

Our total liability to you for any claim arising out of or relating to these Terms or the CIMScan service shall not exceed the total fees paid by you to us in the 90 days preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless True Bearing LLC and its officers, employees, and agents from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your use of CIMScan, your submission of documents you were not authorized to submit, or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of North Carolina, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in North Carolina, and you consent to personal jurisdiction in those courts.

14. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes by email at least 14 days before the changes take effect. Continued use of CIMScan after the effective date of updated Terms constitutes acceptance of the new Terms.
